Waiver of penalties for companies failing to file annual declarations.

The Ministry of Commerce informs all company directors and managers that, following the recommendations of Prime Minister Hun Manet, they are implementing a penalty-waiver policy. This is intended to help companies that have failed to file their annual declarations in the past.

The Two Mandatory Conditions: To benefit from this waiver, companies must meet two specific requirements:

1. Payment: Pay the penalty for the annual declaration for the last one year only. This must be done within 60 working days from the announcement date (January 8, 2026).

2. Background Checks: Participate in the shareholder background check process, which is part of a national effort to strengthen anti-money laundering measures.

The Consequences of Non-Compliance: If a company does not meet these conditions or misses the 60-day deadline:

  • The company will be labeled as an “Inactive Company.”

  • This status will negatively affect the company’s business registration and legal rights under Cambodian law.

Stated Goal of the Policy: The Ministry believes this initiative will improve the business environment, ensure better implementation of commercial laws, and enhance administrative efficiency.
